General Terms & Conditions

• Delfen.ai: a trading name of Life Surfing, registered with the Dutch Chamber of Commerce under number 27348456, established in Brielle, the Netherlands (registered address available via the Chamber of Commerce), VAT identification number NL004968309B61.
• Customer: the legal entity or natural person acting in the course of a profession or business who enters into an Agreement with Delfen.ai. These Terms apply exclusively to business customers (B2B); consumers within the meaning of article 6:193a of the Dutch Civil Code are not served.
• Product: a digital product, including downloadable documents, templates, checklists and toolkits, offered via delfen.ai.
• Agreement: the purchase agreement for the delivery of a Product between Delfen.ai and the Customer.
• Licence:the Customer's right to use the Product in accordance with Article 6.

• 2.1 These Terms apply to all offers, quotations and Agreements between Delfen.ai and the Customer.
• 2.2 Deviations from and additions to these Terms are valid only if agreed in writing.
• 2.3 The Customer's purchasing or other general terms are expressly rejected.
• 2.4 Delfen.ai reserves the right to amend these Terms. The version in force at the time the Agreement is concluded applies to that Agreement.

• 3.1 All offers on delfen.ai are without obligation and revocable, unless expressly stated otherwise.
• 3.2 The Agreement is concluded at the moment the Customer completes payment and Delfen.ai confirms the order by email.
• 3.3 By placing an order, the Customer declares that they are acting in the course of a profession or business.
• 3.4 Delfen.ai reserves the right to refuse an order without stating reasons.

• 4.1 All prices are exclusive of VAT unless stated otherwise. 21% VAT is added at checkout.
• 4.2 Payment is made in advance via the payment methods offered at checkout (processed by Stripe, Inc.).
• 4.3 Delfen.ai is entitled to change prices. Changes do not apply to Agreements already concluded.

• 5.1 Digital Products are made available immediately after payment confirmation via a download link.
• 5.2 The download link is valid for 7 days after purchase. In the event of technical problems, please contact info@delfen.ai.
• 5.3 Delfen.ai is not liable for delays resulting from incorrect contact details provided by the Customer.

• 6.1 Delfen.ai grants the Customer a non-exclusive, non-transferable licence to use the Product for the Customer's internal business operations.
• 6.2 The Customer may not resell, rent out, sublicense, publish or otherwise make the Product available to third parties.
• 6.3 The Customer may not modify the Product and offer or distribute the modified version as their own work.
• 6.4 All intellectual property rights in the Products rest with Delfen.ai. Nothing in the Agreement implies a transfer of these rights.
• 6.5 In the event of a breach of this article, the Customer owes an immediately payable penalty of €5,000 per breach by operation of law, without prejudice to Delfen.ai's right to full compensation.

• 7.1 Delfen.ai's Products are informational aids. They do not constitute legal, tax, technical or compliance advice and are not intended as a substitute for professional advice.
• 7.2 Delfen.ai takes the greatest possible care over the content of its Products but does not guarantee that the information is complete, correct or current. Laws and regulations may change after publication.
• 7.3 Delfen.ai is not liable for damage arising from the use of or reliance on the content of the Products, including but not limited to fines, data breaches, regulatory consequences or business losses.
• 7.4 To the extent Delfen.ai is nonetheless liable, that liability is limited to the amount the Customer paid for the Product concerned.

Delfen.ai supplies business customers only. The statutory right of withdrawal for consumers (article 6:230o of the Dutch Civil Code) therefore does not apply. See the Complaints Policy for the procedure in the event of a product complaint.

• 9.1 Dutch law applies to all Agreements.
• 9.2 Disputes are submitted to the competent court of the Rotterdam District Court.
